Terms and Conditions
These terms and conditions govern the relationship between Priority Seats Ltd (hereafter referred to as "Priority Seats Ltd") and the Customer. By purchasing a hospitality package or event experience from Priority Seats Ltd, the Customer agrees to be bound by these terms and conditions, as outlined in the relevant correspondence and customer invoice.
1. DEFINITIONS
1.1 "Conditions" refers to these terms and conditions, along with any additional terms agreed upon in writing.
1.2 "Customer" refers to the legal entity specified above, with whom Priority Seats Ltd enters into this Agreement.
1.3 "Event" refers to the event(s) included in the Package, as indicated in the invoice and confirmation.
1.4 "Force Majeure" refers to events beyond the control of Priority Seats Ltd, including but not limited to acts of God, civil disorder, war, terrorism, government actions, industrial disputes, fire, flood, extreme weather, or any unforeseen circumstances that could not have been reasonably prevented.
1.5 "Literature" refers to the specifications, itineraries, dates, menus, and similar information published by Priority Seats Ltd pertaining to various Packages.
1.6 "Package" refers to the hospitality services detailed in the Confirmation Form, including the specified Event (if any).
1.7 "Price" refers to the total cost for the Package, plus VAT where applicable, as outlined in the Confirmation Form.
2. TERMS OF SALE
2.1 The Customer agrees to purchase the Package (including entry to any Events contained within the Package) from Priority Seats Ltd, in accordance with this Agreement.
2.2 Priority Seats Ltd agrees to provide the Package to the Customer, subject to these Conditions, which represent the entire agreement between the parties. Any amendments to these Conditions must be agreed in writing by both parties.
2.3 Priority Seats Ltd reserves the right to correct any errors or omissions in its Literature (including pricing or package descriptions), invoices, or other issued documents at any time and without liability.
3. EVENTS, TICKETS, AND ENTRY
3.1 The Customer is responsible for ensuring all necessary documentation is obtained to access the Event, such as valid identification (e.g., UK driver’s license or passport) and compliance with any travel arrangements. Priority Seats Ltd is not liable if the Customer is denied access to any venue or part of the package due to inadequate documentation.
3.2 All Customers must comply with the terms and conditions of the event venue, which will be provided upon purchase.
4. ALTERATIONS
4.1 Priority Seats Ltd will make reasonable efforts to deliver the Package as agreed but reserves the right to alter the Package as directed by the venue or event organizer.
4.2 Ticket providers or event venues may alter details, seat allocations, or make other changes without notice. Priority Seats Ltd will inform the Customer of such changes as soon as possible but will not be held liable for any changes beyond its control.
5. TICKETING AND DOCUMENTATION
5.1 Priority Seats Ltd will dispatch all tickets, paperwork, and relevant information to the Customer prior to the Event date, provided all payments are received in full. If dispatch prior to the Event is not feasible (e.g., due to late bookings), Priority Seats Ltd may arrange for collection at the venue on the Event date.
6. WARRANTIES AND LIABILITY
6.1 Priority Seats Ltd does not guarantee that the Event will occur on the specified date or at all. In cases where an Event is rescheduled (e.g., due to TV broadcasting changes), the booking remains valid, and no refunds will be issued.
6.2 Priority Seats Ltd cannot guarantee the venue’s ability to host the Event and shall not be held liable for cancellations caused by Force Majeure. If an Event is canceled and no alternative date is provided, refunds will be issued where possible from third-party suppliers.
6.3 Priority Seats Ltd is not liable for any consequential losses, such as loss of business, profits, goodwill, or contracts suffered by the Customer.
6.4 Nothing in this Agreement limits Priority Seats Ltd's liability for personal injury, death, or fraudulent misrepresentation.
6.5 Except as stated in Clause 6.4, Priority Seats Ltd’s liability to the Customer shall not exceed the total Price paid under this Agreement.
6.6 Tickets for events included in the Package are subject to the terms and conditions of the ticket provider, supplier, or venue owner. The Customer agrees to comply with these terms and acknowledges the potential for removal from the venue at the venue owner’s discretion.
7. CANCELLATION AND TERMINATION
7.1 The Customer may not cancel the Package after payment has been received.
7.2 If the Customer cancels for any reason, any payments made under this Agreement will be forfeited.
7.3 In the event that Priority Seats Ltd is unable to provide tickets for the agreed Event, the Customer will receive a full refund.
8. CONFIDENTIALITY, DATA PROTECTION, GDPR
8.1 Both parties agree to maintain the confidentiality of any information identified as confidential.
8.2 Priority Seats Ltd processes personal data in accordance with GDPR and its Privacy Notice.
8.3 The Customer’s data is stored securely on Priority Seats Ltd's GDPR-compliant servers and will be used only as necessary for the fulfilment of this Agreement.
9. GENERAL
9.1 A failure by Priority Seats Ltd to enforce any right or provision in this Agreement shall not constitute a waiver of such rights or provisions.
9.2 If any Condition in this Agreement is found to be illegal or unenforceable, the remainder of the Agreement shall remain in effect.
9.3 Any notices related to this Agreement must be served personally, by First Class mail, or by email, with all notices to Priority Seats Ltd requiring written acknowledgment.
9.4 Priority Seats Ltd reserves the right to recover legal costs for unpaid invoices from the Customer.
9.5 The parties agree that the Contracts (Rights of Third Parties) Act 1999 does not apply to this Agreement.
9.6 This Agreement shall be governed by and interpreted in accordance with the laws of England and Wales, and the parties submit to the exclusive jurisdiction of the English Courts.
